RE: VENDOR ETHICS NOTICE

Procurements and contracts issued by the Metropolitan Pier and Exposition Authority (the "Authority") must comply with the Metropolitan Pier and Exposition Authority Act (the "Act"), as amended by Public Acts 096-0898 and 096-0899 (70 ILCS 210/1-28). Certain sections related to existing contracts are summarized below:

Section 25.1(c): Vendors are required to disclose all individuals and entities that have an ownership interest of greater than 7 1/2%, and to notify the Authority during the contract term of any changes in ownership.

Section 25.2: Any person who has provided the Authority with professional services or advice related to a project that materially changes operations or facilities of the Authority is prohibited from performing any work for the Authority in connection with the implementation of the project.

Section 25.3: No Board member, Trustee, officer or employee of the Authority may have any interest, directly or indirectly, in any contract or the performance of any work of the Authority. Any contract made in violation of Section 25.3 is void.

Section 25.5: Vendors who have contracts with the Authority that, in the aggregate, total more than $50,000 annually are prohibited from making contributions to any political committees of the Mayor of the City of Chicago and the Governor of the State of Illinois.  Similar restrictions apply to vendors whose aggregate pending bids total more than $50,000 annually. Any contract made in violation of Section 25.5 is voidable.

The summaries provided above are for informational purposes only, and additional restrictions and exceptions are set forth in detail in the Act. All vendors that do or seek to do business with the Authority should familiarize themselves with the Act. In addition to the Act, vendor relationships are governed by other Illinois laws related to procurement and public contracts. A list of the laws that govern vendor relationships with the Authority is posted at www.mpea.com/doing_business/laws_regs.html
